Please read these Terms and Conditions carefully before using our services. By accessing or using viruchamsoft Technologies' services, you agree to be bound by these terms.

Introduction

Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and viruchamsoft Technologies ("Company," "we," "us," or "our"), a digital solutions and technology company registered at No. 84, Braminal Street, Mudaliarpet, Puducherry – 605004, India.

By accessing our website at www.viruchamsoft.com, engaging our services, signing a service proposal, making any payment, or using any of our digital products and platforms (including the Annpurna application), you acknowledge that you have read, understood, and agree to be bound by these Terms.

âš ī¸ If you do not agree to these Terms, please do not use our website or services. We reserve the right to update these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

Our Services

viruchamsoft Technologies provides the following categories of professional services:

Digital & Technology Services

  • Website design and development (business sites, eCommerce, custom web applications)
  • Android mobile application development and deployment
  • UI/UX design and digital prototyping
  • Web hosting consultation and technical support

Brand & Marketing Services

  • Brand identity design, logo creation, and visual communications
  • Search Engine Optimization (SEO) and content strategy
  • Google Ads, paid social media advertising, and campaign management
  • Social media management and content creation
  • Performance marketing and analytics reporting

Business Foundation & Compliance Services

  • GST Registration, GST Return Filing, and GST compliance support
  • Income Tax Return (ITR) Filing for individuals and businesses
  • TDS Return Filing (Form 24Q, 26Q)
  • MSME (Udyam) Registration
  • IEC (Importer Exporter Code) Registration
  • ESI & EPF Registration and Return Filing
  • LEI (Legal Entity Identifier) Registration and renewal
  • Proprietorship and business entity setup
  • Bookkeeping, accounting, and financial record management
  • Project Reports preparation for bank loans and funding

Startup & Entrepreneurship Services

  • Strategic planning, direction, and mentorship

Specific deliverables, timelines, milestones, fees, and technical specifications for each engagement are defined in a separate Service Agreement, Project Proposal, or Statement of Work executed between the parties.

Section 02

Client Obligations

To enable us to deliver our services effectively and on time, you agree to:

  • Provide Accurate Information: Supply complete, accurate, and up-to-date information, documents, credentials, and materials required for the project
  • Timely Responses: Respond to queries, review drafts, and provide feedback within the agreed timelines. Delays caused by non-responsiveness may affect project delivery dates
  • Payment Obligations: Make payments as per the agreed schedule and payment terms outlined in your service agreement or invoice
  • Legal Compliance: Ensure that all content, information, and materials you provide do not infringe any third-party intellectual property rights and comply with all applicable laws
  • Access & Credentials: Provide necessary access (hosting accounts, domain registrars, social media accounts, business documents) required to perform the services
  • Designated Contact: Appoint a single point of contact from your side to coordinate with our team for efficient project management
  • Lawful Use: Not use our services for any unlawful, fraudulent, or harmful purpose

Section 03

Service-Specific Terms

3.1 Website & Application Development

  • Projects commence only after receipt of the advance payment as specified in the project proposal
  • Timelines are estimates based on the agreed scope. Changes in scope may affect delivery timelines and fees
  • The client receives up to 3 rounds of revision per milestone unless additional revisions are agreed in writing
  • Final delivery of source code and assets is contingent on full payment clearance
  • Post-delivery support, maintenance, and bug fixes beyond the warranty period are subject to separate agreement
  • Hosting, domain, and third-party service fees are the client's responsibility unless explicitly included in the project quote
  • We reserve the right to display completed work in our portfolio unless the client requests otherwise in writing

3.2 Compliance & Registration Services

  • Our compliance services (GST, ITR, TDS, MSME, ESI & EPF, IEC, LEI) are provided based on documents and information supplied by the client
  • We are not responsible for penalties, interest, or legal consequences arising from inaccurate or incomplete information provided by the client
  • Filing deadlines are the client's responsibility; we will endeavour to file within reasonable time upon receipt of complete documentation
  • We do not provide legal advice. For complex legal matters, clients are advised to consult a qualified Chartered Accountant or legal professional
  • Government portal downtime or processing delays beyond our control do not constitute a breach of our service obligations

3.3 Marketing & SEO Services

  • SEO results are not guaranteed. Search engine rankings depend on multiple factors including search engine algorithm changes, competition, and content quality
  • Paid advertising budgets (Google Ads, Meta Ads, etc.) are managed by us on behalf of the client but are billed directly to the client's ad account
  • We are not liable for ad account suspension or policy violations arising from client-provided content
  • Monthly performance reports will be provided as agreed in the service contract

3.4 Startup Support & Consulting Services

  • Consulting sessions are provided on a best-effort basis and constitute our professional opinion based on available information
  • Business outcomes and success cannot be guaranteed
  • Pitch decks and project reports are prepared based on information provided by the client. We are not responsible for investment decisions made by third parties based on our documents
  • Confidentiality of business ideas and plans shared with us is maintained under our general confidentiality obligations

Section 04

Payment Terms

The following payment terms apply to all services provided by viruchamsoft Technologies unless otherwise specified in a written service agreement:

Payment Structure

  • Project-Based Services: Typically require 50% advance payment before work commences, with the remaining balance due upon project completion or as specified in milestones
  • Monthly Retainer Services: Invoiced at the beginning of each month and payable within 7 days of invoice date
  • Compliance Services: Payable in full before filing or registration is initiated
  • Consulting Sessions: Payable before the scheduled session

Accepted Payment Methods

  • Bank Transfer (NEFT / RTGS / IMPS)
  • UPI (PhonePe, Google Pay, Paytm, etc.)
  • Cheque (subject to clearance before work commencement)
  • Cash (for in-person transactions with receipt)

Late Payments

  • Invoices unpaid beyond the due date may attract a late payment fee of 1.5% per month on the outstanding amount
  • We reserve the right to pause or suspend services for overdue accounts
  • Legal costs incurred in recovering unpaid dues will be the client's responsibility

âš ī¸ All fees are quoted exclusive of applicable Goods and Services Tax (GST) at 18% unless otherwise stated. GST will be added to all invoices as required under Indian tax law.

Section 05

Intellectual Property Rights

Our Property

All content on the viruchamsoft Technologies website — including text, graphics, logos, images, audio clips, digital downloads, and software — is the property of viruchamsoft Technologies and is protected under Indian and international copyright, trademark, and intellectual property laws.

Client Deliverables

  • Upon receipt of full payment, ownership of custom deliverables (websites, apps, designs, documents) created specifically for the client transfers to the client
  • We retain the right to use general-purpose code, frameworks, plugins, libraries, and methodologies developed independently of the client engagement
  • Third-party components (licensed fonts, stock images, plugins) remain subject to their respective third-party licenses, which are the client's responsibility to maintain after delivery
  • We reserve the right to showcase completed work in our portfolio and marketing materials unless the client requests confidentiality in writing prior to project commencement

Client Content

You represent and warrant that all content, data, images, and materials you provide to us for use in delivering our services are owned by you or that you have the right to use them, and that their use will not infringe any third-party intellectual property rights.

Section 06

Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the course of the business relationship. This includes:

  • Business plans, financial data, trade secrets, and strategic information
  • Client credentials, login details, and system access information
  • Unpublished product concepts and development plans
  • Personal data of the client's customers or employees shared for service delivery purposes

Confidentiality obligations survive the termination of any service agreement and remain in force for a period of 3 years following the conclusion of the engagement, unless otherwise agreed in writing.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.

Section 07

Warranties & Disclaimers

Our Warranty

We warrant that our services will be performed with reasonable skill, care, and diligence in accordance with industry standards. We provide a 30-day bug-fix warranty for development projects, covering defects directly attributable to our work.

Disclaimer of Warranties

To the fullest extent permitted by applicable law:

  • Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not warrant that our website will be uninterrupted, error-free, or free from viruses or harmful components
  • We do not guarantee specific business outcomes, search engine rankings, application downloads, revenue growth, or investment outcomes from our services
  • Third-party services, platforms, and APIs used in delivering our work are subject to their own terms and may be modified or discontinued without notice

Section 08

Limitation of Liability

To the maximum extent permitted by applicable Indian law, viruchamsoft Technologies shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, data, or goodwill
  • Damages arising from use of or inability to use our services
  • Errors or omissions in our website content or services
  • Unauthorized access to or alteration of your data
  • Actions or omissions of third-party service providers

In all cases, our total cumulative liability to you for any claims arising under or related to these Terms shall not exceed the total amount paid by you to us for the specific service giving rise to the claim in the 3 months immediately preceding the event that gave rise to the claim.

Section 09

Indemnification

You agree to indemnify, defend, and hold harmless viruchamsoft Technologies, its directors, employees, partners, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms and Conditions
  • Your use of our services in an unlawful or unauthorized manner
  • Content or materials you provide that infringe third-party intellectual property rights
  • Your violation of any applicable law or regulation
  • Any misrepresentation made by you in connection with our services

Section 10

Termination

Termination by Client

You may terminate a service agreement by providing written notice as specified in your service contract. Advance payments for work already completed are non-refundable. For work in progress at the time of termination, you will be invoiced for the portion of work completed.

Termination by viruchamsoft Technologies

We reserve the right to suspend or terminate services immediately, with or without prior notice, if:

  • You fail to make payment by the due date and do not remedy the default within 7 days of notice
  • You breach any material term of these Terms or your service agreement
  • You provide false, misleading, or fraudulent information
  • You use our services for illegal, harmful, or unethical purposes
  • Circumstances beyond our reasonable control prevent us from continuing to provide the services

Effect of Termination

Upon termination, all rights granted to you under any service agreement will cease. Provisions that by their nature should survive termination (including payment obligations, intellectual property, confidentiality, limitation of liability, and dispute resolution) shall survive.

Section 11

Governing Law & Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, including but not limited to:

  • The Information Technology Act, 2000 and its amendments
  • The Indian Contract Act, 1872
  • The Copyright Act, 1957
  • The Digital Personal Data Protection Act, 2023
  • The Goods and Services Tax Act, 2017

Any legal proceedings arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Puducherry, India. You consent to personal jurisdiction in such courts and waive any objections to the exercise of jurisdiction over you by such courts.

Section 12

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, the parties agree to follow this resolution process:

  1. Good Faith Negotiation: Both parties will attempt to resolve any dispute through direct, good-faith negotiation within 30 days of written notice of the dispute
  2. Mediation: If negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator before initiating formal legal proceedings
  3. Legal Proceedings: If mediation is unsuccessful, either party may pursue legal remedies in the courts of Puducherry, India, as specified under Governing Law

This dispute resolution clause shall not prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

Section 13

General Provisions

Entire Agreement

These Terms, together with any applicable service agreement, project proposal, or statement of work, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior agreements, representations, and understandings.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

The failure of either party to enforce any provision of these Terms shall not be construed as a waiver of that party's right to enforce that provision in the future.

Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, internet outages, power failures, strikes, or pandemic conditions.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity without restriction.

Notices

All notices under these Terms shall be in writing and delivered by email or registered post to the addresses specified in the service agreement or on our website. Notices sent by email are effective upon sender's receipt of delivery confirmation.
